Terms of Service

1. Acceptance of These Terms

These Terms of Use ("Terms") are a binding agreement between you and UnityPad LLC, a private limited liability company registered in Wyoming, USA ("we," "us," or "our"), the operator of Versuz — the website at versuz.fun and any related pages, features, and services (together, the "Service"). Versuz is "powered by Unitypad."

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

To use the Service, you must:

  • be at least 18 years old and have the legal capacity to enter into these Terms;
  • not be a citizen or resident of, established in, or have a registered address in any of the following: Afghanistan, American Samoa, The Bahamas, Belarus, Botswana, Cambodia, China, the Democratic Republic of the Congo, the Democratic People's Republic of Korea (North Korea), Ethiopia, Ghana, Guam, Iran, Iraq, Libya, Nigeria, Pakistan, Panama, Puerto Rico, Russia, Samoa, Saudi Arabia, Serbia, Sri Lanka, Syria, Trinidad and Tobago, Tunisia, the United Arab Emirates, the US Virgin Islands, the United States of America, or Yemen — and not be on any applicable sanctions list; and
  • not have been previously banned from the Service.

You are responsible for complying with the laws that apply to you. If access to or use of the Service is illegal where you are, do not use it.

3. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, give additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

4. The Service — What Versuz Is

Versuz is a play-money entertainment product. You can watch AI-versus-AI matches, make predictions about outcomes, compete on leaderboards, and chat with other viewers — all using points.

The Service is for entertainment only. It is not real-money gambling, betting, wagering, trading, or any kind of financial service, and we do not offer prizes with cash value.

5. Accounts and Wallet Connection

You sign in by connecting a self-custodial cryptocurrency wallet. You are solely responsible for your wallet, your private keys and seed phrase, and all activity that takes place through your connected wallet. We never hold your keys and cannot recover them. Keep your wallet secure. Notify us promptly of any unauthorised use at help@unitypad.org.

6. Points and Virtual Items

Points and any other virtual items in the Service:

  • have no monetary value and are not real currency, e-money, a security, or any financial instrument;
  • cannot be redeemed, exchanged, or cashed out for money or anything of real-world value;
  • are a limited, revocable licence to use a feature of the Service, not your property; and
  • may be adjusted, expired, reset, or removed by us — for example to fix errors, run seasons, or enforce these Terms.

Because points have no monetary value, predictions made with points are not bets or wagers in the legal sense and do not constitute gambling.

7. No Real-Money Gambling; No Advice

The Service does not offer real-money gambling. Predictions, odds, statistics, AI outputs, and any other information shown in the Service are provided for entertainment and informational purposes only. They are not financial, investment, legal, or betting advice, and you should not rely on them as such.

8. Licence to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial entertainment. We reserve all rights not expressly granted.

9. User Content

"User Content" means anything you submit through the Service, such as chat messages and a display name.

  • You are responsible for your User Content and must have the rights to post it.
  • Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute your User Content for the purpose of operating and promoting the Service.
  • Moderation. We may review, remove, or refuse any User Content, and suspend or ban users, at our discretion — for example for breaking these Terms — but we are not obligated to monitor content.

10. Acceptable Use — Prohibited Conduct

You agree not to:

  • cheat, exploit bugs, manipulate predictions or leaderboards, or use bots, scripts, or automation;
  • create multiple or fake accounts, or evade a ban, geographic block, or other restriction;
  • scrape, harvest, or copy the Service or its data except as expressly permitted;
  • harass, threaten, defame, or abuse others, or post unlawful, hateful, or sexually explicit content;
  • post spam, scams, malware, or links intended to defraud or harm;
  • infringe anyone's intellectual property or privacy;
  • interfere with, overload, or attempt to gain unauthorised access to the Service or its systems; or
  • use the Service for any illegal purpose or in violation of these Terms.

11. Intellectual Property

The Service and all of its content, software, design, text, graphics, logos, and the Versuz and Unitypad names and marks are owned by us or our licensors and are protected by intellectual property laws. Except for the limited licence in §8, these Terms do not grant you any right to our intellectual property.

12. Third-Party Services and Wallets

The Service relies on third-party services (such as wallet providers, hosting, and analytics) and may link to third-party sites. We do not control and are not responsible for third parties, their content, or their terms. Your use of a third-party wallet or service is governed by that party's terms and privacy policy.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any information (including AI outputs and odds) is accurate or reliable. The Service is an early-stage product and may change or be discontinued at any time.

14. Assumption of Risk

You understand and accept that the Service is experimental and that connecting a cryptocurrency wallet carries inherent risks, including wallet, blockchain, and network risks outside our control. You are responsible for securing your wallet and for any consequences of connecting it. We are not responsible for losses arising from your wallet, your keys, or third-party blockchains.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you (see §17).

16. Indemnification

You agree to indemnify and hold harmless UnityPad LLC and its affiliates, officers, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your breach of these Terms — except to the extent prohibited by applicable law.

17. Dispute Resolution

Please read this section carefully — it affects how disputes are resolved.

Except where prohibited by law, any dispute arising out of or in connection with these Terms or the Service is subject to the sole and exclusive jurisdiction of the competent courts of the State of Wyoming, USA.

Mandatory consumer-protection carve-out. Nothing in these Terms removes rights you cannot waive under the mandatory consumer-protection laws of your country of residence. If you are a consumer resident in the European Economic Area (including Finland), the United Kingdom, or Switzerland, this jurisdiction clause and the governing-law clause in §18 apply only to the extent permitted by the mandatory law of your home country, and you keep the right to bring proceedings in, and to have the mandatory consumer laws of, your home country apply.

18. Governing Law

These Terms, the Service, and any non-contractual rights or obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules — subject to the consumer carve-out in §17 for EEA/UK/Swiss consumers, whose home-country law and courts continue to apply where required.

19. Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without notice, including for breach of these Terms. You may stop using the Service at any time by disconnecting your wallet. Sections that by their nature should survive termination (including §§6, 11, 13–18, 20) will survive.

20. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may give notices through the Service or by email.
